GENERAL TERMS AND CONDITIONS | Wesley Kissen
1. Applicability
1.1 These general terms and conditions apply to all offers, quotations, agreements, and services provided by Wesley Kissen, hereinafter referred to as "Wesley Kissen"
2. Quotations and Agreements
2.1 All offers and price quotations provided by Wesley Kissen are non-binding, unless expressly stated otherwise.
2.2 An agreement is established by written confirmation by Wesley Kissen or by the commencement of the execution of the assignment by Wesley Kissen
2.3 The client is obligated to provide all relevant information and materials to Wesley Kissen in a timely and complete manner to properly execute the assignment.
3. Payment
3.1 Payment must be made within 14 days from the date of the invoice, unless otherwise agreed upon in writing.
3.2 In the event of cancellation of an assignment by the client within 10 days prior to the scheduled date, the client is required to pay:
3.2.1 Fifty percent (50%) of the agreed amount as a cancellation fee
3.2.2 Any additional costs incurred by Wesley Kissen for rented equipment or personnel specifically arranged for the assignment.
3.3 Wesley Kissen reserves the right to suspend the execution of the assignment if the client defaults on payment.
3.4 In case of late payment, the client is automatically in default and Wesley Kissen is entitled to charge statutory interest and collection costs according to Belgian law.
4. Liability
4.1 Wesley Kissen is not liable for any damage incurred by the client or third parties, unless there is intent or gross negligence on the part of Wesley Kissen.
4.2 Wesley Kissen is not liable for loss or damage of material during recordings, unless there is intent or gross negligence on the part of Wesley Kissen.
4.3 The client indemnifies Wesley Kissen against claims from third parties regarding services and products provided by Wesley Kissen.
5. Intellectual Property
5.1 All intellectual property rights related to the products and services provided by Wesley Kissen, including but not limited to photos, videos, designs, and concepts, remain the property of Wesley Kissen, unless otherwise agreed upon in writing.
5.2 The client is not allowed to copy, reproduce, distribute, or otherwise use products or services delivered by Wesley Kissen for commercial purposes without prior written consent from Wesley Kissen.
6. Confidentiality
6.1 Wesley Kissen will treat confidential information of the client confidentially and will only use it as necessary for the execution of the assignment.
7. Applicable Law and Disputes
7.1 Belgian law applies to all agreements between JWesley Kissen and the client.
7.2 Disputes arising from or related to agreements between Wesley Kissen and the client shall be submitted to the competent courts of Hasselt.
8. Other Provisions
8.1 If any provision of these general terms and conditions is declared invalid or unenforceable, the remaining provisions shall remain in full force and effect.
8.2 Wesley Kissen reserves the right to amend these general terms and conditions at any time. Amended terms and conditions apply to new assignments.
8.3 Any deviations from these general terms and conditions are only valid if agreed upon in writing.
9. Email Correspondence
9.1 In the event of sudden termination of agreements by the client, Wesley Kissen reserves the right to charge for the hours spent on email correspondence related to the terminated agreement.
9.2 The hourly rate for email correspondence shall be specified in the agreement or, if not specified, will be determined by Wesley Kissen's standard rates.
